MOLIEYE User Service Agreement

Updated: November 1, 2026 Effective: November 1, 2026

1. Contracting Parties and Scope

1.1 This Agreement is a service agreement between you and Shanghai Molieye Technology Co., Ltd. ("Molieye," "we," "us," or "our") concerning your use of the MOLIEYE products and services.

1.2 This Agreement applies to the MOLIEYE mobile application and web platform (collectively, the "Product"), and to the AI smart glasses, cloud services, and other related features used with the Product (collectively, the "Services"). Specific features vary by platform, device model, and version, and are subject to the pages and feature descriptions actually provided.

1.3 Where a specific feature or service is subject to a separate agreement, rules, or instructions, those documents apply together with this Agreement. In the event of any inconsistency, the special terms that you have lawfully accepted prevail with respect to that specific feature or service.

1.4 Please read this Agreement carefully before registering or using the Services, especially the clauses displayed in bold concerning disclaimers or limitations of liability, intellectual property, breach remedies, governing law, and dispute resolution. This Agreement is formed and takes effect when you accept it by checking a box, clicking to confirm, or taking another explicit action. If you do not agree to this Agreement, please stop registering for or using the Services.

1.5 Accepting this Agreement does not constitute consent to all processing of your personal information. Where separate consent or another authorization is required by law, the relevant notice and authorization must still be completed separately in accordance with the MOLIEYE Privacy Policy and related rules.

2. Account Registration, Use, and Deletion

2.1 Eligibility

2.1.1 The Services are intended only for natural persons who are at least 18 years old and have full civil capacity. Minors under 18 years old may not register for or use the Services.

2.1.2 You must truthfully provide your age, place of residence, and information required for registration. If a minor is found to have registered for or used the Services by misrepresentation or by circumventing age restrictions, we will stop providing the Services and handle the relevant account and personal information in accordance with the law.

2.2 Registration and Login

2.2.1 You may register or log in using an email address, mobile number, or a third-party account supported by us, such as WeChat. The registration methods available may vary by platform and are subject to the actual pages.

2.2.2 You must provide necessary, truthful, and accurate information as prompted on the relevant pages and update it promptly when it changes. Optional information such as a profile picture or nickname is provided at your discretion and does not affect basic features. Your account name, profile picture, and other content must not violate laws or regulations, public order or good morals, or the lawful rights and interests of others.

2.3 Account Use and Security

2.3.1 Your account is for your personal use only. Without our written consent or unless otherwise provided by law, you may not transfer, lease, lend, or sell your account, or otherwise allow another person to use it.

2.3.2 You must keep your password, verification codes, and login devices secure. Please notify us promptly if you discover unauthorized access to or use of your account. We will take reasonable security measures to protect your account and provide assistance as required by law after receiving your notice. Each party bears responsibility in accordance with its own fault and applicable law.

2.4 Account Deletion

2.4.1 You may request account deletion through the deletion entry provided on the mobile application or web platform, or through the contact details published in this Agreement. We will complete necessary identity verification as prompted on the relevant pages. If there are outstanding orders or unresolved paid entitlements, we will ask you to confirm how they should be handled.

2.4.2 Once deletion is completed, the account cannot be restored and you will no longer be able to log in with it. Account content, personal information, backups, and information that must be retained by law are handled in accordance with the MOLIEYE Privacy Policy and applicable law.

2.4.3 Account deletion does not affect rights and obligations arising before deletion and does not automatically release either party from any liability that it bears under law.

3.1.1 The Services currently include glasses connection and management, AI Voice Assistant and knowledge base, AI Recording and Transcription, Simultaneous Translation, Conversation Translation, Inspiration Capture, Speech Script Generation, Teleprompter, Contact Management and Speaker Identification, Calendar and Reminders, Notifications and Message Forwarding, and other related features actually provided.

3.1.2 We may adjust service features due to technical upgrades, legal requirements, or operational needs. Changes involving your material rights and interests are handled under Sections 9 and 12 of this Agreement.

3.2 License to Use the Software

3.2.1 Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, and non-transferable license to use the Product for your personal, lawful access to and use of the Services. This license does not constitute a transfer of the software or any related intellectual property rights.

3.2.2 Without our written consent or unless permitted by law, you may not reverse engineer, decompile, or disassemble the Product, circumvent access controls, security restrictions, or technical protection measures, obtain data in bulk through unofficial interfaces, or interfere with the operation of the Services.

3.2.3 The Product may provide feature or security updates. You may choose whether to install mobile application updates, but some features may no longer be available in older versions. We will provide separate notice as required by law for changes involving material rights and interests.

  1. Content that violates laws or regulations, endangers national security or public security, or undermines social stability;
  2. Content that promotes terrorism, extremism, cults, obscenity or pornography, gambling, violence, or incitement to commit crimes;
  3. Content that spreads rumors or false information to disrupt social order, infringes the lawful rights and interests of others, or involves fraud, impersonation, manipulation, or misleading conduct;
  4. Content that insults, defames, discriminates against, expresses hatred toward, or harasses others, or infringes their reputation, privacy, personal information, intellectual property rights, trade secrets, or other lawful rights and interests;
  5. Content that discloses another person's recordings, voiceprints, documents, or other non-public information without authorization;
  6. Other content that violates laws or regulations, public order or good morals, or this Agreement.

4.2 You must not use the Services to engage in any of the following conduct:

  1. Attacking, intruding into, interfering with, or disrupting the Product, servers, networks, or other users' normal use;
  2. Uploading malicious code, scraping data in bulk without authorization, or circumventing access permissions, usage limits, or security measures;
  3. Reselling or leasing the Services themselves, or providing them externally as a standalone service, without authorization;
  4. Using AI features to commit fraud, impersonate identities, or engage in other activities that infringe the lawful rights and interests of others;
  5. Maliciously removing, tampering with, forging, or concealing lawfully applied AI-generated and synthetic content labels, or evading legally required content labeling obligations;
  6. Other conduct that violates laws or this Agreement or endangers the security of the Services.

4.3 You may use the Services and output content in study, research, work, daily life, and other lawful scenarios, subject to the verification and use requirements in Section 5 of this Agreement.

5. Recordings, Speaker Identification, and AI-Generated Content

5.1 Rules for Recording

5.1.1 When recording through glasses, a phone, or another device, you must comply with applicable laws, regulations, and venue rules, inform the persons being recorded in a reasonable manner before recording, and obtain their consent where required by law.

5.1.2 You must not use the Services to secretly record, eavesdrop, or otherwise collect audio without authorization, use recording features in environments where recording is prohibited by law or venue rules, or infringe another person's privacy, personal information, or other lawful rights and interests.

5.2 Rules for Speaker Identification

5.2.1 Before using Speaker Identification to enroll a contact's voiceprint, you must provide that person with the processing notice displayed by us, including the entity carrying out the processing, the purposes and methods of processing, categories of information, recipients, retention period, necessity and impact of the processing, and how to delete information and exercise rights. You must obtain their separate consent and any other authorization required by law before enrollment.

5.2.2 By continuing with enrollment, you represent that you have provided the above notice and obtained valid authorization. You must not use Speaker Identification for unauthorized identity verification, monitoring, tracking, or any other purpose beyond the purpose of this feature.

5.2.3 Recorded persons, enrolled contacts, and other relevant data subjects may contact us directly through the contact details published in this Agreement, without registering an account, to exercise their lawful rights concerning relevant personal information held by us. We will fulfill our personal information protection obligations in accordance with the law.

5.3 AI Output and Use Restrictions

5.3.1 Due to current limitations of AI technology, outputs such as transcripts, translations, summaries, Q&A responses, and speech scripts may be inaccurate, incomplete, or unsuitable for particular scenarios. You must review them manually in light of the actual context and must not use them as professional advice or the sole basis for significant decisions.

5.3.2 For matters that may significantly affect another person, including medical, legal, financial, investment, education, employment, insurance, credit, or housing matters, you must exercise independent judgment and consult an appropriately qualified professional where necessary.

5.3.3 AI output does not represent our views, opinions, offers, or commitments. Unless separately and expressly confirmed by us, output content does not constitute a warranty, professional advice, or a legally binding representation made by us to you or any third party.

5.4 AI-Generated and Synthetic Content Labels

5.4.1 Where required by applicable laws and regulations, we will add explicit labels to AI-generated and synthetic content provided through the Services and add implicit labels to file metadata.

5.4.2 When you publish, disseminate, or provide to a third party content generated through the Services, you must comply with applicable laws and regulations and the receiving platform's labeling requirements, and must not maliciously remove, tamper with, forge, or conceal the relevant labels.

6. User Content and Intellectual Property

6.1 Intellectual Property in the Product and Services

6.1.1 Intellectual property rights in the trademarks, logos, software, programs, interfaces, technology, and related content of the Product and Services belong to us or other lawful rights holders. Except for the license expressly granted in this Agreement, no rights are transferred to you.

6.1.2 Intellectual property rights and other lawful rights and interests owned by each party before this Agreement takes effect remain with the original rights holder. User content and third-party content do not automatically become our property merely because the Services are used.

6.2 User Input

6.2.1 Your lawful rights in documents, audio, text, and other original content that you upload, input, or create are not changed by using the Services. You must ensure that you hold lawful rights in such content or have obtained the necessary authorization.

6.2.2 To complete the storage, transcription, translation, analysis, generation, synchronization, and other functions you request, and to maintain service security, you grant us a non-exclusive license limited to what is necessary to achieve those purposes, including necessary storage, reproduction, format conversion, transmission, and analytical processing. We will not use this license for public display, brand promotion, or other independent purposes unrelated to those purposes.

6.3 AI Output

6.3.1 To the extent permitted by applicable law, we do not claim ownership of AI output that you obtain through the Services. Whether intellectual property rights subsist in output content and who owns those rights must be determined according to the input content, the generation process, and applicable law.

6.3.2 Identical or similar inputs may produce identical or similar outputs. You are responsible for reviewing output content and how you use it. Unless otherwise provided by law, we do not warrant that output content is original or exclusive, or that it is necessarily suitable for a particular purpose or does not infringe third-party rights.

6.4 No Use of Content for Model Training

We will not use your input or output content to train our own or any third party's AI models, and will not permit service providers to use such content for model training. If we intend to change this use in the future, we will separately notify you of the processing purpose, scope, and retention period and obtain your consent as required by law. Your content will not be used for model training before consent has been obtained.

7. Personal Information Protection

7.1 We collect, use, store, share, and protect your personal information in accordance with the MOLIEYE Privacy Policy applicable to the platform you use and the MOLIEYE Third-Party Information Sharing List.

7.2 We will use contracts to bind service providers that process personal information on our behalf as required by law. When you actively use a product or service independently provided by a third party, that third party may process information under its own rules. Please also review its terms of service and privacy policy. This does not release us from any responsibility we bear under law.

7.3 In accordance with the MOLIEYE Privacy Policy, you may access, copy, correct, and delete your personal information, withdraw consent, delete your account, and exercise other related rights.

8. Paid Services

8.1 The Services may include paid features or entitlements. Before making a purchase, you must review the price, billing period, service content, validity period, use restrictions, and refund rules set out on the actual page or in a separate agreement. We will provide invoices to you in accordance with the law. The invoice application channel, available invoice types, and issuance rules are subject to the instructions on the actual page.

8.2 We may adjust the content or price of future paid service offerings based on operational circumstances and will provide advance notice by reasonable means. An adjustment will not affect paid entitlements that you have purchased and that remain valid, unless otherwise provided by law or lawfully agreed by both parties. If we adjust the price of subsequent billing cycles of an auto-renewing service, we will provide conspicuous advance notice and ensure that you can cancel auto-renewal.

8.3 If auto-renewing services are offered, we will provide conspicuous reminders as required by law when you make the purchase and before each automatic debit, and will provide a convenient way to cancel. Cancellation, refunds, and the treatment of the current billing cycle are governed by the actual page rules, payment channel rules, and applicable law.

8.4 Payments may be processed by third-party payment channels or app stores. You must comply with the applicable payment rules. Processing by a payment channel does not release us from any responsibility we bear for the Services under law.

8.5 Where service changes, discontinuation of operations, or account deletion involve outstanding orders or paid entitlements, we will handle them in accordance with applicable law and the published order rules. No other clause of this Agreement automatically deprives you of entitlements to which you are legally entitled.

9. Service Changes, Suspension, Termination, and Breach Remedies

9.1 Service Changes and Suspension

9.1.1 We may change, suspend, or interrupt some Services due to feature upgrades, system maintenance, security incidents, legal requirements, or third-party service adjustments. Where circumstances may materially affect your rights and interests, we will provide advance notice by reasonable means to the extent possible, except in emergencies or where otherwise required by law.

9.1.2 If we decide to discontinue operations, we will provide advance notice through an announcement or another conspicuous method and handle user content, personal information, and outstanding paid-service obligations in accordance with the law.

9.2 Breach Remedies

9.2.1 If you violate this Agreement or applicable law, we may take necessary measures based on the nature, impact, and risks of the conduct, including issuing warnings, requiring rectification, deleting or restricting unlawful content, restricting relevant features, or suspending or terminating the Services.

9.2.2 Except in cases of illegal or criminal conduct, urgent security risks, or where otherwise required by law, we will notify you of the reasons before or after taking such measures by reasonable means and provide an appeal channel. We will not automatically determine that you have breached this Agreement merely because content has been complained about, and will make decisions based on the available materials and necessary verification.

9.2.3 We review relevant content or conduct only to the extent necessary to comply with legal requirements, handle complaints and reports, or protect the security of the Services and users. We do not undertake to conduct prior manual review of all user content.

9.2.4 If your unlawful conduct or breach causes damage to us or a third party, you must bear the corresponding responsibility in accordance with the law. We will also bear the responsibility that we owe based on our own fault and applicable law.

10. Allocation of Responsibility and Complaints and Appeals

10.1 Service Responsibility

10.1.1 We will use reasonable efforts to safeguard the stability and security of the Services. However, due to limitations of network environments, device compatibility, and AI technology, we cannot guarantee that the Services will always be uninterrupted or error-free, or will fully satisfy every intended purpose. When a fault is discovered, we will take repair or remedial measures within a reasonable scope.

10.1.2 Where the Services are affected by force majeure or events beyond our reasonable control, the matter will be handled in accordance with applicable law. Cyberattacks, device failures, or third-party service issues do not automatically release us from security protection, notification, remediation, or other obligations that we bear under law.

10.1.3 This Agreement does not exclude or limit liability for personal injury caused by us, property loss caused by our intentional misconduct or gross negligence, or any other liability that cannot be excluded or limited under applicable law.

10.2 Complaints and Appeals

10.2.1 If you believe that the Services or related content infringe your intellectual property rights, personal information rights and interests, or other lawful rights and interests, you may submit a complaint and necessary supporting materials to support@molieye.com. We will verify and handle the complaint within a reasonable period in accordance with the law.

10.2.2 If you believe that an account or feature measure was imposed improperly, you may request a review through the same email address. We will request only account and verification materials necessary to handle the appeal and will not require identity documents unrelated to that verification.

11. Governing Law and Dispute Resolution

11.1 The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement are governed by the laws of the People's Republic of China, which, solely for the purposes of this Agreement, do not include the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, or Taiwan.

11.2 The parties may first seek to resolve disputes arising from this Agreement or the Services through friendly consultation. If consultation fails, either party may bring an action before a people's court with jurisdiction at the defendant's place of domicile in accordance with the law.

12. Notices, Agreement Updates, and Miscellaneous

12.1 We may send you notices by reasonable means, including mobile application or web platform announcements, pop-ups, in-app notifications, email, SMS, or push notifications. You must keep necessary contact details truthful and valid. Where the law provides otherwise for service of notices, those provisions prevail.

12.2 We may revise this Agreement in response to changes in law and the Services. General revisions will be communicated by reasonable means. For changes involving your material rights and interests, we will provide conspicuous notice through pop-ups, push notifications, or other means before they take effect and obtain your confirmation again where required by law. If you do not agree to the changes, you may stop using the relevant Services, and the parties will handle outstanding orders, paid entitlements, and existing data in accordance with the law.

12.3 We will not improperly diminish your lawful rights through assignment of this Agreement, business succession, or other arrangements. For mergers, acquisitions, restructurings, asset sales, or business succession, we will fulfill notification obligations in accordance with the law and obtain your consent where required by law.

12.4 If any clause of this Agreement is held invalid or unenforceable, the validity of the remaining clauses is not affected. Clause headings are for ease of reading only and do not affect interpretation.
